Ca parle surtout des chaines de TV (US), et du bouquet SKY (UK), mais n'omet pas les studios. :shock:

Notez que ca reunirait donc tous les heros Marvel sous une enseigne (pour un tant soit peu que vous ne soyez pas DEJA fatigue de tous ces mecs en costumes moule-teub... :D )

21st Century Fox 'restarts talks' for possible sale to Walt Disney

Talks reportedly focus on film studio, cable channels, and networks such as India’s Star network and Sky in the UK

The Rupert Murdoch-controlled 21st Century Fox has restarted talks to sell most of the company, including UK broadcaster Sky, to Walt Disney, it was reported on Sunday.

The negotiations centre on Fox’s film studio, cable channels such as FX, and international businesses including India’s Star network and Sky, the Financial Times reported, citing “multiple people with knowledge of the talks”.

The apparent talks come as Fox struggles to secure full control of Sky for the second time in a decade. The £11.7bn ($15.41bn) deal has run foul of regulator concerns about media plurality in the UK and the Murdochs’ commitment to broadcasting standards.

The UK’s Competition and Markets Authority (CMA) is scrutinising the deal after a referral by Karen Bradley, the culture secretary, in September.

That followed a review by Ofcom, the UK media watchdog, raised “significant concerns” over the two options for solving media plurality issues, known as behavioural and structural remedies. The CMA is due to publish the provisional findings of its investigation in December. Sky has threatened to close its Sky News network if the deal is not cleared.

In what was viewed as a setback for the Murdoch family’s hopes of taking full control of Sky, last month Ofcom ruled that the Fox News programmes Hannity and Tucker Carlson Tonight breached impartiality rules covering British broadcasting.

A deal with Disney would end Fox’s pursuit of Sky and leave it with the Fox News Channel, Fox broadcast network and its sports rights, which the FT reported would not be sold.

Talks between Fox and Disney were first revealed early last month, when US news channel CNBC said Fox managers believed the company could not gain the size needed to compete with Amazon, Netflix and other major competitors. It said talks had come to a halt.

Traditional media players are increasingly having to compete for viewers with Amazon, Apple, Google, Netflix and other tech firms that are funding their own content and tapping into the trend towards accessing entertainment via the internet rather than a TV or DVD player.

A Disney takeover of Fox’s entertainment assets would create a Hollywood powerhouse. Fox’s recent hits have included the Planet of the Apes and X-Men film franchises, while Disney controls Pixar and the Star Wars series.

But cable subscriptions, an area where both Fox and Disney have made fortunes, are slipping as more people rely on the internet to deliver their entertainment.

Disney is thought to be unlikely to seek to buy Fox’s sports programming assets for fear of running foul of antitrust laws given its ownership of the ESPN sports network, and would also not buy Fox News or Fox’s local broadcasting affiliates.

It might face competition for Fox’s entertainment assets from Comcast, the US cable group, and Verizon, the telecoms group, both of which have expressed an interest.

Fox and Disney had yet to respond to a request for comment by the time of going to press.

Moi ce que j'y vois intéressant, c'est le contrôle totale sur la distribution du premier Star Wars, au moins Disney n'aura aucun freins sur d'éventuelles restaurations ou éditions du film.

ça fait 21 ans qu'elle a disparu et le contrat George/Disney est certainement solide comme le roc.

Mais, c'est pas faute d'essayer. J'ai appris l'existence de la Despecialized editions grace au post de Hitcher il y a une heure chrono et j'ai beau chercher, je trouve pas de lien pour les telecharger! )8 :lol:

Déjà je n'ai pas parlé de la version non altérée, mais de nouvelles éditions et de restaurations d'images.... Mais j’avoue, je pensais aux versions d'origines :D
Ensuite, ils l'ont bien fait une fois en DVD, pourquoi pas en HD? Et aussi une restauration d'Holiday Special pour le démystifier un peu. Maintenant ils peuvent mettre ça dans la poubelle de l'univers étendu "Legends".

Petit rebondissement dans les pourparler. Oh rien qui n'affecte reellement la partie "cinema" du buisness de Disney, mais plutot la partie media/TV du groupe.

Ca resonne surtout fortement outre-Manche, vu que Ruppert Murdoch (patriarche australien dont la seule mention du nom a des relents de souffre dans le Royaume) est considere comme un TRES "mauvais eleve" (un euphemisme!) pour tout ce qui touche a l'ethique (journalistique) et la gouvernance y relative d'une entreprise.
(Une suite de scandales en matiere de journaux/articles des tabloids qu'il a a sa botte, sans compter que le "Brexit" anglais a ete largement vendu a une partie du public anglais grace aux tabloids qu'il possede, sans mentionner les deplorables couvertures/editoriaux mediatiques de la tristement celebre FOX News, chaine US 100% pro-trump apres avoir ete a 100% anti-Obama et avant cela 100% pro-guerre dans le Golfe. Bref, et a mon humble avis, on navigue dans les egouts des medias...BEUARK!

Fox boss James Murdoch could be next Disney CEO in possible merger – report

If companies follow through on possible Disney takeover of Fox, James and his father, Rupert, could take top jobs, Financial Times reports

The Fox boss James Murdoch is reportedly being considered as a potential successor to Bob Iger, chief executive of Walt Disney, if the two companies reach agreement on a possible takeover.

According to the Financial Times, Rupert Murdoch and his younger son, James, could take senior roles at a combined company if a deal is struck. Iger, 66, is due to retire in 2019 and James Murdoch, 44, currently chief executive of 21st Century Fox and chairman of the satellite broadcaster Sky, is a possible successor.

Disney began holding on-and-off discussions to take over some of Fox’s major assets last month. The sale would include Fox’s movie studio, cable channels and international units – Sky and Star India. It could be worth more than $60bn and would reshape the media landscape.

But Disney is not Fox’s only suitor. Comcast, the US’s largest cable operator and owner of NBC Universal, the TV network and movie studio company, is also reported to be assessing a bid, as is Verizon, the largest US telecoms group.

Neither company was immediately available for comment. “No promises have been made,” one person briefed on the talks told the FT.

Any such deal is likely to run into trouble with shareholders who have consistently criticized the Murdochs over corporate governance. The takeover comes as their stewardship is under question following a series of sexual harassment charges at Fox. Those allegations have triggered an official inquiry by the Competition and Markets Authority in the UK into plans to buy the rest of Sky.

Iger has been Disney’s boss since 2005 and is one of the most highly rated executives in media. The company has, however, struggled to groom a successor. Disney’s chief operating officer, Tom Staggs, once seen as Iger’s top pick, resigned in 2016 after the board failed to assure him he would be Iger’s heir. More recently, Facebook’s chief operating officer, Sheryl Sandberg, has been tipped as a potential hire.

The possible Fox sale comes in as the media landscape is being reshaped by the entry of new players including Apple, Amazon and Netflix. Pressure on cable subscriptions and competition for assets has set off a wave of mega-deals.

AT&T is in the midst of an $85.4bn takeover of Time Warner, but that deal is now struggling. The US justice department sued to block the deal last month, arguing that a takeover would “substantially lessen competition, resulting in higher prices and less innovation for millions of Americans”.

That deal is now heading to court, with AT&T suggesting the justice department stepped in because of Donald Trump’s open antipathy to the “fake news” he claims is being generated by Time Warner’s CNN.

Comcast, too, was heavily criticized by US officials during its ultimately successful bid for NBC Universal in 2009, and regulators appear concerned about media mergers that combine content – films and TV – with delivery – cable and satellite.

According to the FT, the Murdochs favour a deal with Disney, as they believe it poses the lowest regulatory risk. Competition from the tech giants may have strengthened arguments for the merger of content companies.

According to CNBC, which first broke the news of the discussions, Disney and Fox are now close to making an agreement and an announcement could come as early as next week.

The sale of the Murdochs’ prime media assets would leave them with control of News Corp, which owns a portfolio of newspapers – including the Times, the Wall Street Journal and the Sun.
M'enfin, rien n'est arrete a ce stade. Par contre, l'idee que la famille Murdoch mette la main sur un geant de l'entertainment familial et populaire fait quelque part froid dans le dos.

C'est fait!

Apres les studios Pixar (animation), la Marvel (edition), Lucasfilm et leurs licences/franchises, Disney s'est paye les studio Fox et Deadpool, les X-Men et les FF (sans oublier les Simpsons :lol: ) pourront bientot (sans doute) figurer au casting des super-heros mash-ups de la firme. :)

Rupert Murdoch has agreed to sell $66bn (£49bn) worth of 21st Century Fox’s assets, including a Hollywood film studio and 39% stake in Sky, in a deal that transforms his media empire.

The takeover involves the 86-year-old tycoon and his family taking a 4.25% stake in Disney, which gains control of Fox assets including Avatar, X-Men, The Simpsons and Modern Family as well as the FX and National Geographic businesses.

Murdoch will retain control of Fox assets including the profitable, and controversial, Fox News channel.

“We are extremely proud of all that we have built at 21st Century Fox, and I firmly believe that this combination with Disney will unlock even more value for shareholders as the new Disney continues to set the pace in what is an exciting and dynamic industry,” said Murdoch, executive chairman of 21st Century Fox.

Disney chief executive Bob Iger has signed a contract extension to continue to run the business until 2021. James Murdoch, the chief executive of 21st Century Fox, has not been named in the new corporate structure and is expected to leave to pursue other business interests when the deal completes.

“We’re honoured and grateful that Rupert Murdoch has entrusted us with the future of businesses he spent a lifetime building,” said Iger.

“The acquisition of this stellar collection of businesses from 21st Century Fox reflects the increasing consumer demand for a rich diversity of entertainment experiences that are more compelling, accessible and convenient than ever before.”

The transaction also marks a pivotal moment for the Murdoch dynasty with the departure from the business of James, who is also chairman of Sky. The move paves the way for his elder brother, 46-year-old Lachlan to inherit executive control of the Murdoch empire. Lachlan is co-chairman of 21st Century Fox and News Corp, the separately listed business that owns the Murdoch newspaper assets including The Times, The Sun and the New York Post.

The deal will not, for now, impact the proposed takeover by 21st Century Fox of the 61% of Sky it does not own. The Competition and Markets Authority will continue to investigate the deal as a Murdoch-brokered takeover, pending Fox’s Sky stake officially changing hands.

“While 21st Century Fox’s existing plans to acquire Sky remain in place, we expect the current investigation to continue,” said a spokesman for the department of digital, culture, media and sport.

Disney and Fox said that they expect the £11.7bn deal to buy the remaining 61% in Sky will be cleared and completed by June next year.

21st Century Fox said that it intends to spin-off the remaining assets as a separate business, called New Fox, that will include Fox Broadcasting network and stations, Fox News, Fox Business, Fox sports and its regional network of stations in the US.

“The new Fox will draw upon the powerful live news and sports businesses of Fox, as well as the strength of our broadcast network,” said Murdoch. “It is born out of an important lesson I’ve learned in my long career in media: namely, content and news relevant to viewers will always be valuable. We are excited by the possibilities of the new Fox, which is already a leader many times over.”

Under the terms of the deal, which will cement Disney’s place as the world’s most-powerful entertainment brand, Disney is paying $52.4bn in stock, including $13.7bn in debt – the total value of the deal is $66bn. Fox shareholders will own about 25% of Disney, with The Murdoch’s 17% stake in 21st Century Fox translating to just over 4%.

“We have always made a commitment to deliver more choices for customers; provide great storytelling, objective news, challenging opinion and compelling sports,” said Murdoch. “Through today’s announcements we are proud to recommit to that promise and enable our shareholders to benefit for years to come through ownership of two of the world’s most iconic, relevant, and dynamic media companies.”

Disney has said that the deal, which will allow it to bring together X-Men, Fantastic Four and Deadpool with the Marvel universe including Iron Man, Avengers and Captain America it already owns, will generate $2bn in savings.

“When considering this strategic acquisition, it was important to the board that Bob remain as chairman and chief executive through 2021 to provide the vision and proven leadership required to successfully complete and integrate such a massive, complex undertaking,” said Orin Smith, lead independent director of the Disney board.

The deal would be scrutinised by the US and UK regulatory authorities. A Disney-Fox combination would see it control almost 40% of the $11bn (£8bn) US box office, the biggest movie market in the world, and a similar level in the UK. In the US, sports rights could also be an issue. Both sides will be hoping the deal doesn’t become as endangered as AT&T’s $85bn bid for Time Warner. The US Justice Department is threatening to scupper that deal unless CNN is offloaded, which executives indicated may be in part due to president Donald Trump’s dislike of the news channel.

Je sens que J. Cameron va adorer avoir les execs de Disney lui regarder par-dessus l'epaule, lui qui est habitue a ce qu'on lui fiche la paix pendant des annees dans son "antre". :D
